Swiss Re Group is looking for an experienced and dynamic paralegal with expertise in corporate governance/corporate secretarial practices. This is an exciting opportunity to grow as a member of a small dedicated team within a global and multi-faceted Legal & Compliance division.



About the role


This position is on the Corporate Governance Americas team and can be located in either our Armonk, NY or Kansas City, MO office.  We provide corporate secretarial, corporate governance and regulatory support for the US subsidiaries of the Swiss Re Group, as well as other legal services in support of the operating platform in the US and Canada. 


Key responsibilities include:


  • Organize board and committee meetings, prepare meeting materials (e.g., agendas and resolutions), distribute meeting materials through use of electronic board portal, prepare written consent actions, and draft minutes
  • Maintain corporate records (electronic and paper, including minute books)
  • Provide general corporate housekeeping support, including entity formation, entity dissolution and entity registrations
  • Respond to inquiries and requests for corporate documents from internal clients, auditors or regulators  
  • Ensure the global legal entity database (EnGlobe) is updated with key information regarding US subsidiaries on a timely basis
  • Coordinate projects in connection with Board training initiatives and other corporate governance matters
  • Provide other corporate governance/corporate secretarial team support, as needed



About You


Experienced professional with knowledge of corporate secretarial practices and understanding of corporate governance practices and requirements, with at least three years corporate paralegal experience in a major law firm or in a corporate legal department. Experience in the insurance/financial services industry is a plus.


  • Exceptional organizational skills, close attention to detail and confident in abilities to manage a complex workload.
  • High degree of integrity and discretion and able to handle confidential/sensitive information.
  • Able to work independently and as a contributing team member with minimum supervision.
  • Proven ability to work collaboratively to achieve team objectives.
  • Demonstrate accountability and are wholly reliable and responsible.
  • Exercise good judgment and recognize when to ask for help or raise issues.
  • Proficient in MS Office products such as Outlook, Word, Excel and PowerPoint; experience with entity management databases (particularly EnGlobe) and board portals a plus. 
  • Enthusuastic, high evergy and desire to learn!



About the team


Corporate Governance Americas is part of the Legal Reinsurance Americas team in the Legal & Compliance Division.  We collaborate closely with our colleagues in Legal Reinsurance Americas and the other legal teams in the Americas region, as well as with others globally who have corporate governance/corporate secretariat responsibilities for the Group holding company and the EMEA and Asia regions.
