About the Team

 

The Corporate Solutions North America regional team consists of eight lawyers including the team leader, mostly located in Kansas City, Missouri. The team is part of the global Swiss Re Corporate Solutions Legal team reporting to the General Counsel of Corporate Solutions, who is based in Zurich, Switzerland. The Corporate Solutions business in NA writes direct insurance and reinsurance business including property, casualty, professional liability, accident and health and credit/surety lines of business.

 

About the Role

 

The Legal Counsel is a temporary position with a duration of six to twelve months from the date of hiring. The Legal Counsel primarily supports a corporate realignment of several Swiss Re Corporate Solutions insurance companies that is ongoing. Much of the legal work focuses on regulatory requirements or transaction drafting in support of these corporate changes.

 

The Legal Counsel has these specific responsibilities:

 

  • Researching and advising about a variety of regulatory and legal issues arising from a series of action including, but not limited to
    • moving of policyholders from one insurer to an affiliated insurer; and
    • the redomestication or merger of several insurance companies under the control of the Swiss Re Corporate Solutions business unit
  • Advising on multiple related issues that may include the following:
    • the filing of notices of nonrenewals to policyholders who will move from one Swiss Re Corporate Solutions insurer to a different Swiss Re Corporate Solutions insurer
    • Researching and drafting notices or plans to state insurance regulators of the cessation of writing insurance policies on one Swiss Re Corporate Solutions insurer, known as "block nonrenewal" or "block termination" notices
  • Reviewing and revising communications about the change in insurance carrier structure including to regulators, brokers, and policyholders including via website or otherwise
  • Supporting redomestication and merger regulatory applications required by the realignment
  • Other insurance regulatory and transaction drafting in support of other commercial insurance business not affiliated with the corporate realignment

 

About you

 

  • J.D. or qualified bar admission, with minimum of 5 years legal experience in a well-respected law firm or in-house counsel position
  • If based in Kansas City, admitted to the bar of Missouri or able to obtain a limited corporate practice license upon hiring
  • If based outside of Missouri, admitted to the bar of the state where based or compliance with Model Rules of Professional Conduct Rule 5.5: Unauthorized Practice of Law; Multijurisdictional Practice of Law or similar state professional conduct rule
  • Languages: Business English fluency required
  • Strong skills in the following:
    • legal research and analysis, including the use of Westlaw;
    • concise and comprehensible writing;
    • ability to explain complex regulatory issues to non-lawyers; and
    • ability to quickly adapt to a new environment
  • Preferred: experience with key compliance risks, including data protection, international trade controls, anti-money laundering, antitrust and competition, and dealing with regulators
  • Able to build trust relationships with client groups, key stakeholders, and direct reports
  • High personal integrity, with ability to apply highest ethical standards and maintain independence as a lawyer
  • Strong presentation skills, with Word and Power Point proficiency
