About the Role

 

An exciting opportunity has arisen to join a highly motivated, multi-jurisdictional team. In this role you will provide a broad range of corporate secretariat / corporate governance services in respect of Swiss Re legal entities located in Luxembourg and their branches and/or subsidiaries located in the EMEA region.

 

Your role will include:

 

  • Performing corporate secretariat formalities such as organizing board and committee meetings. This includes, in particular, the drafting of minutes of meetings where a wide range of complex business topics are being discussed.

  • Supporting the Head of Corporate Governance in providing legal advice on general and regulatory corporate governance requirements;

  • Handling requests for corporate documents from internal clients, auditors or regulators;

  • Administration of company records and general records management;

  • Develop and maintain templates and standard procedures for corporate secretariat tasks;

  • Collaborate with other members of the Corporate Governance EMEA Team and the wider L&C Division.

 

About the Team

 

The Corporate Governance EMEA team is a multi-jurisdictional team composed of 9 Legal Counsels and Corporate Secretaries based in Bratislava, Luxembourg, London and Zurich, providing corporate governance and corporate secretariat services to legal entities of the Business Unit Reinsurance in EMEA.

As dedicated partner of board and committee members of in scope entities, the team is accountable for compliance with corporate governance laws, regulations and internal requirements.

About You

 

  • We are looking for a Corporate Secretary with a law degree and at least 4 years of experience in a global financial organization – preferably in the re/insurance sector in Luxembourg. In addition, you should have the following skills & experience:

  • You are familiar with corporate governance requirements applicable to regulated companies and you have excellent organizational and minutes drafting skills as well as an eye for detail.

  • You are well-versed in handling Senior Management requests.

  • You have excellent verbal and written communication skills in English and French (good command of a further European language (preferably German) is a strong advantage) and you are a proficient user of MS Office products such as Outlook, Excel, Word, Power Point.

  • You are confident in your ability to drive matters independently while balancing the need to collaborate and maintain an appropriate level of communication and coordination with the rest your peers.

  • You demonstrate accountability, resilience when facing challenges and you are fully reliable, responsive and display a high level of energy.

  • You are recognised by clients for the pragmatic advice you provide, your sense of urgency and commercial mindset, and by colleagues for being a pro-active teammate with excellent inter-personal skill and a good sense of humor!
