About the Team

The Corporate Solutions NA regional team consists of seven lawyers, primarily located in Kansas City, Missouri, who provide business enabling, corporate secretary and governance, and legal entity advice across the region. The Corporate Solutions business in NA writes primary and excess direct insurance and reinsurance business including property, casualty, professional liability, accident and health, and credit/surety lines of business, both as large bespoke structured transactions and larger volumes of smaller policies that are underwritten and delivered digitally.

About the Role

The Legal Counsel serves as a technical legal expert for the Corporate Solutions North America ("NA") Legal team focusing on digital transactions, especially the digital delivery of insurance policies. The position is a direct report of the Head Corporate Solutions Legal NA.

The Legal Counsel enables regional business growth while serving as a gatekeeper to prevent legal, regulatory and reputational harm. The Legal Counsel provides business enabling, corporate governance and regulatory advice to underwriters, application designers, business development specialists and business leaders within Corporate Solutions' North America region. The Legal Counsel analyzes complex and novel regulatory and legal issues and drafts transaction documents and legal advice memos

Business partnering/business legal support:

  • Serving as a trusted legal advisor to and initial point of legal contact for Corporate Solutions businesses seeking to transact insurance business via (a) the platforms of large tech companies hosting businesses (b) platforms hosted by insurtech brokers and (c) internal Swiss Re digital platforms
  • Providing in-depth legal advice designed to enable and support digital insurance transactions while complying with applicable state and federal laws and regulations (including supporting the business to set-up the necessary internal processes required by digital transactions)
  • Advice regarding general insurance regulatory issues whether the business is transacted digitally or traditionally
  • Handling complex regional legal issues and developments
  • Use of research (Westlaw) and collaboration (Office 365, proprietary applications) tools to quickly identify and analyze issues and communicate advice and written guidance
  • Supporting corporate acquisitions by participating in due diligence and integration activities in support of the firm's M&A experts especially where the transaction includes digital applications
  • Preferably, the Legal Counsel will also advise on technology law issues such as limitation of liability, licensing of applications, data location requirements, data privacy, cloud, anti-trust/competition laws and protection of intellectual property
  • Support creation and maintenance of templates suitable for digital (re)insurance transaction in the region

Coordination and collaboration with other stakeholders:

  • Coordination across necessary functions (other Legal departments, Compliance, Risk Management, Finance, Group Functions) within the company to ensure holistic assessment and mitigation of risks relating to a digital (re)insurance transactions,
  • Coordinating with lawyers and compliance officers assigned to other teams within Swiss Re's Legal & Compliance Division on significant matters that affect the Group's reputation, regulatory relationships or operations
  • Supporting Dispute Resolution experts in the handling of complex disputes and regulatory matters

Partnering and collaborating with other key regional functional stakeholders, such as Compliance, Risk, Finance, Operations, Internal Audit, and Contracts and Wordings

About You

  • Admitted to the bar of at least one state in the United States; if not admitted to the bar of the state where position is located, i.e. New York or Missouri, must qualify for an in-house counsel limited license in that state
  • Minimum of 5 years legal experience in a well-respected law firm, insurance carrier, insurance broker or insurTech firm; more experience is a plus
  • Significant experience in advising about insurance regulatory matters; insurance defense counsel experience with no other regulatory experience does not meet this requirement
  • Languages: Business English fluency required; Spanish or French fluency a plus
  • Knowledge of direct and excess domestic and international insurance, including understanding of distribution networks, broker and MGA relationships, and insurance regulatory issues is preferred
  • Experience with key compliance risks, including data protection, international trade controls, anti-money laundering, antitrust and competition, and market conduct
  • Superior communication, and collaboration skills
  • Must identify, research and analyse difficult issues in ambiguous circumstances
  • Proven ability to meet competing deadlines and work in a demanding, fast-paced environment
  • Preferably, an experienced negotiator of agreements with third parties
  • Strong ability to build trust relationships with client groups and key stakeholders
  • Excellent writer and editor of written documents
  • High personal integrity, with ability to apply highest ethical standards and maintain independence as a lawyer
  • Strong presentation skills, with Word and Power Point proficiency
  • Ability to travel, with travel unlikely to exceed 15%
