Legal Counsel, MGA - Hybrid

Are you a commercially minded lawyer who enjoys operating close to the business? We are looking for a Legal Counsel to join our Corporate Solutions Legal North America team, with a primary focus on Managing General Agent (MGA) and other distribution arrangements, as well as on sourcing / vendor agreements, including IT and technology-enabled services. 

In this role, you will work with various key stakeholders, including Underwriting, Distribution, Procurement, and Operations, to help the business move fast, stay compliant, and manage risk intelligently. You’ll be part of a collaborative, high-performing legal team that values pragmatism, sound judgement, and strong relationships. 

A smaller portion of the role may involve supporting U.S. domestic Surety business, but the core of your mandate will sit firmly with MGA oversight and commercial contracting

 

 

About the role 

You will act as a trusted legal partner to the North America Corporate Solutions business, supporting both day-to-day operations and strategic initiatives. Your responsibilities will include: 

 

MGA & Distribution Advisory 

  • Draft, review and negotiate MGA agreements for various lines of business 

  • Advise on the structuring, negotiation, and ongoing supervision of MGAs and other delegated authority arrangements. 

  • Support the business in managing MGA lifecycle activities, including onboarding, regulatory compliance, audits, amendments, and enforcement of contractual terms. 

  • Partner closely with Underwriting, Compliance, Risk, and Operations to ensure MGA models align with regulatory expectations and Swiss Re governance standards. 

 

Insurance & Regulatory Support 

  • Provide legal advice on U.S. insurance regulatory matters impacting Swiss Re's distribution channels, incl. MGA structures. 

  • Assist the business with regulatory advice, including ensuring regulatorily compliant contractual agreements across the lines of business (with a potential focus of Surety)  

  • Contribute to interdisciplinary projects with Finance, Tax, Compliance, Risk, IT, Operations, and Underwriting. 

  • Apply Group legal policies, controls, and governance standards in a pragmatic, business-enabling manner. 

 

Sourcing, Vendor & IT Agreements 

  • Draft, review and negotiate sourcing, vendor, outsourcing, and IT-related agreements. 

  • Support Procurement and business stakeholders in assessing legal, regulatory, data protection, and operational risks associated with third-party vendors. 

 

 

 

About the Team 

You will join the Corporate Solutions Legal North America team, a group of 10 experienced lawyers/legal professionals supporting a broad commercial insurance platform across the U.S. and Canada. The team works closely with the business as trusted advisors; balancing growth ambitions with regulatory discipline and reputational protection. 

We operate in a fast-paced, matrix environment and collaborate extensively with colleagues across regions and functions. 

 

 

About You 

You are a confident, pragmatic lawyer who enjoys working on complex commercial arrangements and navigating regulatory nuance without losing sight of the business objective. 

 

You bring: 

  • Admission to the bar in at least one U.S. state  

  • At 7+ years of legal experience, gained in a top-tier law firm and/or financial services or insurance environment. 

  • Strong experience drafting and advising on MGA arrangements, distribution models, and delegated authority frameworks. 

  • Understanding of U.S. insurance regulatory concepts; experience with Surety is a plus.  

  • Demonstrated experience in drafting and negotiating vendors, outsourcing and IT agreements

  • Ability to analyze complex issues, exercise sound judgement in ambiguous situations, and clearly explain risks to senior stakeholders. 

  • Excellent communication and relationship-building skills, with a collaborative and solutions-oriented mindset. 

  • High personal integrity and comfort operating independently while aligned with Group standards.

The estimated base salary range for this position for Chicago, IL and for Kansas City, MO,  is $156,000 to $210,00.  The specific salary offered for this, or any given role will take into account a number of factors including but not limited to job location, scope of role, qualifications, complexity/specialization/scarcity of talent, experience, education, and employer budget.  At Swiss Re, we take a "total compensation approach" when making compensation decisions. This means that we consider all components of compensation in their totality (such as base pay, short-and long-term incentives, and benefits offered), in setting individual compensation.

 

Our company operates under a hybrid work model, with the expectation that employees work from the office three days per week.
