Legal Counsel, VP - Structured Fronting (Hybrid Work Model)

About the Team


The Corporate Solutions regional Legal teams consist of lawyers who provide business enabling, corporate secretary and governance, and legal advice across the region. The Corporate Solutions business writes primary and excess direct (re)insurance business including property, casualty, professional liability lines of business, as large structured transactions on a global basis.



About the Role


The Legal Counsel will serve as a technical legal expert and advisor primarily supporting the Corporate Solutions Structured Fronting team, focusing on domestic and international commercial (re)insurance with a focus on Structured Fronting business. The position is a direct report of the Head Corporate Solutions Legal in the region in which you are located. The Legal Counsel's primary function is to enable business growth while protecting Corporate Solutions and the Swiss Re group from legal, regulatory, and reputational risk. The Legal Counsel will analyze complex, novel regulatory and legal issues and will draft transaction documents and legal memos.


Business partnering/business legal support:


  • Act as the legal advisor to Corporate Solutions Structured Fronting team

  • Provide legal advice designed to enable and support Structured Fronting global insurance solutions in compliance with applicable state insurance law and regulations

  • Advise regarding general insurance regulatory issues of US, UK or Swiss law

  • Handle complex regional legal issues and developments

  • Use of research (Westlaw) and collaboration (Office 365, proprietary applications) tools to quickly identify and analyse issues and communicate advice and written guidance

  • Support wording of policies and underwriting agreements, including creation and maintenance of insurance policies and templates suitable for (re)insurance transaction in the region

  • Collaborate with corporate client and manage retained external legal advisors specialized in (re)insurance regulation and commercial insurance


Coordination and collaboration with other stakeholders:


  • Partner and collaborate with various regional and functional stakeholders within the company (such as other Legal teams, Compliance, Actuarial, Compliance, Contracts and Wordings, Finance, Internal Audit, Operations, Risk and Underwriting) to ensure holistic assessment and mitigation of risks

  • Coordinate with lawyers and compliance officers assigned to other teams within Swiss Re's Legal & Compliance Division on significant matters that affect the Group's reputation, regulatory relationships or operations

  • Supporting Dispute Resolution experts in the handling of complex disputes and regulatory matters



About you


  • Admitted to practice law in country of residence
  • Minimum of 6 – 10 years legal experience in a well-respected law firm or (re)insurance carrier; additional specialized experience is a plus (e.g. large corporate insurance placements and insurance structuring)
  • Significant experience in advising about insurance regulations and insurance policy wording matters;
  • Knowledge of direct and excess domestic and international insurance, including understanding of distribution networks, broker and MGA relationships, and insurance contract wording /regulatory issues is preferred
  • Experience with key compliance risks, including data protection, international trade controls, anti-money laundering, antitrust and competition, and market conduct
  • Superior written and verbal communication and collaboration skills
  • Languages: Business English fluency required
  • Must identify, research and analyze difficult issues in ambiguous circumstances
  • Proven ability to meet competing deadlines and work in a demanding, fast-paced environment
  • Preferably, an experienced negotiator of agreements with third parties
  • Strong ability to build trust relationships with client groups and key stakeholders
  • Excellent writer and editor of written documents
  • High personal integrity, with ability to apply highest ethical standards and maintain independence as a lawyer
  • Strong presentation skills, with Word and Power Point proficiency
  • Ability to travel, with travel unlikely to exceed 15%



For New York City/Armonk the estimated base salary range for this position is $128,000 to $211,000.  The specific salary offered for this or any given role will take into account a number of factors including but not limited to job location, scope of role within AVP or VP, qualifications, complexity/specialization/scarcity of talent, experience, education, and employer budget.  At Swiss Re, we take a "total compensation approach" when making compensation decisions. This means that we consider all components of compensation in their totality (such as base pay, short-and long-term incentives, and benefits offered), in setting individual compensation.
