About the Role 

 

As a Company Secretary in Luxembourg, you will be the guardian of corporate secretariat and
governance matters for our Luxembourg entities and their global branches. You will work at the intersection of legal, governance, finance, and management, providing critical support to ensure regulatory and statutory requirements are met with precision and foresight. Examples of key responsibilities include:
•    Coordinating management, board and shareholder meetings, including preparing agendas and pre-reading, minuting meetings and tracking action items
•    Drafting, reviewing and arranging execution of corporate documents, including resolutions and powers of attorney
•    Preparing and coordinating filings with regulators and commercial registers
•    Maintaining the accuracy and integrity of corporate information in central systems and corporate archives, supporting on due diligence and information requests
•    Contributing to the development, implementation and maintenance of policies, procedures, process flows and training content
•    Liaising with notaries, external legal advisors and regulatory bodies

About You 


You are a detail-oriented professional with strong organisational skills and a commitment to
upholding strong corporate governance. Your ability to manage multiple priorities while maintaining accuracy makes you stand out, as does your commitment to ethical business practices and discretion when handling sensitive information. You thrive in a collaborative environment but can also drive matters independently.

 

We are looking for candidates with:
•    Qualification in law, compliance, business, or company secretarial practice (e.g., ILA, ICSA/Chartered Governance Institute qualification or equivalent)
•    Minimum 3 years of experience in a company secretarial role, preferably within Luxembourg
•    Thorough knowledge of Luxembourg corporate law, governance requirements, and regulatory frameworks
•    Fluency in English (verbal and written)
•    Familiarity with entity management software systems, technological savviness 

 

These are additional nice to haves:
•    Experience with multi-jurisdictional corporate structures
•    Knowledge of corporate governance best practices in financial services or regulated industries
•    Project management experience, particularly in corporate restructuring
•    Additional European language skills (particularly French, German or Luxembourgish) 

 

For Luxembourg, the base salary range for this position is between 65,000 EUR  and EUR 108,000  for a full-time role.

The specific salary offered considers:

•    the requirements, scope, complexity and responsibilities of the role,
•    the applicant's own profile including education/qualifications, expertise, specialisation, skills and experience. In the situation where you do not meet all the requirements or you significantly exceed these, the offered salary may be below or above the advertised range.
•    In addition to your base salary, you may be eligible for additional rewards and benefits including an attractive performance-based annual bonus.
