About the Team

 

Swiss Re's Corporate Solutions NA ("Corporate Solutions") legal team consists of eight lawyers, primarily located in Kansas City, Missouri, who provide business enabling, corporate secretary and governance, and legal entity advice across North America.

 

Corporate Solutions NA insurance carriers write (re)insurance in Property & Casualty, Accident & Health, and Credit & Surety lines of business. Corporate Solutions specializes in creating risk transfer solutions in the form of traditional insurance policies and large bespoke structured transactions.

 

About the Role

 

The Legal Counsel will serve as a NA legal expert and advisor primarily supporting Corporate Solutions' digital transformation global initiatives, directly reporting to the Head Corporate Solutions Legal North America. The Legal Counsel's primary function is to enable business growth while protecting Corporate Solutions and the Swiss Re group from legal, regulatory, and reputational risk.

 

The ideal candidate will be knowledgeable about the business and/or regulation of insurance in the United States, with a strong transactional skillset (e.g. contract drafting, revising, and negotiation). Interest in the digital transformation of (re)insurance is a plus.

 

This position can be based in New York, NY; Armonk, NY; or Kansas City, MO. 

 

Business partnering/business legal support:

  • Act as a trusted legal advisor to Corporate Solutions' business seeking to transact insurance business via digital platforms and services
  • Provide legal advice designed to enable and support digital transactions in compliance with applicable state insurance law and regulations
  • Advise on 50-state insurance regulatory issues whether the business is transacted digitally or traditionally
  • Identify, analyze, and research legal issues and provide advice and solutions
  • Experience in technology law issues such as software and application licensing, cybersecurity and data privacy, cloud, SaaS, access & use, and intellectual property, is preferable, but not required.
  • Assist with creation and maintenance of templates under US law
  • Support business transactions by reviewing, revising, and negotiating agreements and advising the business on legal risks throughout life of each deal

 

Coordination and collaboration with other stakeholders:

  • Partner and collaborate with various regional and global functional teams (other Legal teams, Compliance, Risk Management, Finance, Operations, Internal Audit, and Contracts and Wordings, Group Functions) within the company to ensure holistic assessment and mitigation of risks relating to a digital (re)insurance transactions
  • Coordinate with lawyers and compliance officers assigned to other teams within Swiss Re's Legal & Compliance Division on significant matters that affect the Group's reputation, regulatory relationships or operations

 

About You

  • Admitted to practice law in the United States; if not admitted to the bar of the state where position is located, i.e. New York or Missouri, must qualify for an in-house counsel limited license in that state
  • Minimum of 5 years legal experience in a well-respected law firm, insurance carrier, insurance broker or insurtech firm; more experience is a plus
  • Significant experience in advising about insurance regulatory matters (please note that insurance defense counsel experience with no other regulatory experience does not meet this requirement)
  • Languages: Business English fluency required; other languages a plus
  • Knowledge of direct and excess domestic and international insurance, including understanding of distribution networks, broker and MGA relationships, and other insurance vehicles, is preferred
  • Experience with key compliance risks, including data protection, international trade controls, anti-money laundering, antitrust and competition, and market conduct
  • Superior written and verbal communication skills
  • Must identify, research and analyze difficult issues in ambiguous circumstances
  • Proven ability to meet competing deadlines and work in a demanding, fast-paced environment with stakeholders across the globe
  • Preferably, an experienced negotiator
  • Strong ability to build trust relationships with client groups and key stakeholders
  • Excellent writer and editor of written documents
  • High personal integrity, with ability to apply highest ethical standards and maintain independence as a lawyer
  • Strong presentation skills, with Word and Power Point proficiency
  • Ability to travel, with travel unlikely to exceed 15%
